Terms of Sale
These are the terms on which we sell a film. They are written in plain language on purpose.
1. Who you are buying from
Echoes of Life LLC, a New Jersey limited liability company (“Echoes of Life,” “we,” “us” or “our”), can be contacted at contact@echoesoflife.ai. Our business address is 21 Broad Street, Denville, New Jersey 07834. These Terms of Sale apply when you order a film through echoesoflife.ai. If a funeral home purchases a film for resale or as a gift, the provisions that apply to business purchasers and the relevant order confirmation also apply.
2. What we make
We create short films using photographs, recordings and other materials supplied or authorized by you. Offerings may include memorial films about a person who has died and celebration films for anniversaries, milestone birthdays, retirements and similar occasions. Available formats, lengths, options and prices are shown on the website when you place your order.
Depending on the service selected, we may restore or color-correct photographs, animate or add motion to images, place a photographed person in an imagined setting, or use generated material. A generated or altered scene is not documentary evidence that an event occurred. We will not knowingly present an imagined event as an actual event. The final result depends on the source materials and the options selected.
3. Signed consent and production start
We do not begin production until we have both (a) your order and (b) the signed consent form required for that order: the Family Consent and Likeness Release for a memorial film, or the Creative Video Consent and Release for a film about a living person. For purposes of these Terms, “production begins” when both the order and the required signed consent are in our possession. We will not begin work before then.
For a celebration film about a living person, including a surprise gift, the subject must approve the film as required by the applicable consent form before we deliver it. A purchaser cannot override a subject’s decision to withhold consent or approval. We will not deliver, publish, or otherwise use a living person’s film unless the required consent and approval have been obtained.
Where an order is placed using a payment method that supports an authorization without immediate capture, the payment method is authorized at checkout and is not charged then. We capture the payment when production begins, as defined above — that is, when both your order and the required signed consent are in our possession.
You cannot place an order until the required consent form is signed. The website will not accept one. Which form it is depends on what you are ordering, and we choose it for you so that you are never asked to sign the wrong document. Signing costs nothing and commits you to nothing: it gives us permission to do the work, and you return to your order afterward to decide whether to place it.
Because of that, both of the conditions above are met at the moment you pay, and production begins then. Your card is charged at checkout.
Bank debit (ACH), where offered, works differently: it may take several business days to clear and can fail or be reversed. For an ACH order, production will not begin until payment has cleared and the required signed consent is in hand. The card-authorization process described above does not apply to ACH payments.
4. Prices, tax and payment
Prices are shown on the website in US dollars and do not include sales tax. Where sales tax applies, it is calculated at checkout from the address you provide and shown to you, with the total amount due, before you submit your order.
Echoes of Life is registered to collect New Jersey sales tax and collects it on taxable orders. We do not collect sales tax in states where we are not registered to do so. Where tax is due on an order and we have not collected it, you may be responsible for reporting and paying it to your own state.
We accept the payment methods displayed at checkout, processed by Stripe. Depending on what is enabled when you order, these may include payment cards, Apple Pay, Google Pay, Link, Cash App Pay, Amazon Pay, PayPal and bank debit (ACH). Only the methods actually shown at checkout are available for your order. Every method listed above supports authorization without immediate capture except bank debit (ACH), which is addressed separately in Section 3. We do not offer buy-now-pay-later financing.
Because the signed consent is collected before an order can be placed, production begins when you pay. Your card is charged at checkout, and the refund terms in Section 8 apply from that point — including a full refund, with no cancellation fee, at any time before we start work on your film.
5. Timing and delivery deadlines
We will provide an estimated turnaround when you order and confirm the delivery deadline or target date in your order confirmation. Rush production may be available for an additional fee shown at checkout.
For card orders, production begins only when both the order and required signed consent are in hand; the charge is captured at that point, subject to payment-provider rules. Where an order is paid by bank debit (ACH), production begins only after the required signed consent is in hand and payment has cleared. The delivery schedule begins once required materials and information are also received. The delivery clock pauses while we are waiting for customer or subject materials, information, consent or approvals. We will let you know if a deadline is likely to change.
If we miss an agreed delivery deadline for reasons within our control, we will refund any rush fee in full and will still complete and deliver the film. This remedy does not apply to delay caused by missing or late customer materials, consent or approvals, or other circumstances outside our reasonable control.
6. Preview, approval and revisions
We will provide a private preview link, ordinarily with a visible watermark, for the purchaser to review. The price includes two rounds of revisions. We will quote any fee for additional revisions and obtain your approval before doing that additional work.
For a film about a living person, we will not deliver the film until the subject has provided the consent and approval required by the applicable consent form. The purchaser’s review is not a substitute for the subject’s approval. Neither the purchaser nor the subject is required to grant permission for promotional use as a condition of purchasing a film.
If the subject does not respond to the preview, we will contact the purchaser at approximately 14 days and again at approximately 21 days after sending the preview. If the subject has not responded by 30 days after the preview was sent, the order will close, we will refund the purchaser in full, and we will delete the film and source materials in accordance with our Privacy Policy, subject to any limited retention required by law or for payment, security or dispute records. Nothing will be delivered or used.
7. Delivery and retention
We ordinarily deliver the finished film as an MP4 file (H.264, 1080p) through a private link that can be played on common screens, phones and chapel equipment. You may download and retain copies for uses permitted under Section 9. Link availability and any download deadline will be stated in the delivery message. A private link may expire or be disabled for security, privacy or operational reasons; contact us if you need help accessing a film.
We currently expect to retain a copy of a delivered finished film for up to one year to help with re-delivery, unless you request deletion sooner, subject to our Privacy Policy and any legal, security, accounting or dispute-related retention needs. We cannot promise to recover or resend a film after it has been deleted. Please keep your own secure copy.
8. Cancellation, refunds and remedies
Before production begins
Signing the consent form is not an order and does not charge you anything. If you sign and then decide not to go ahead, simply do not place the order, and there is nothing to cancel and nothing to refund.
After you have paid, you may still cancel for a full refund at any time before we start work on your film. In practice that means any time before your photographs have reached us, and usually for a while after that. Tell us at contact@echoesoflife.ai and we will refund the whole amount, including any rush fee, with no cancellation fee and no questions.
If the subject declines consent
If the subject declines to provide the required consent or approval, we will not begin or continue production or deliver the film. If no charge has been taken, there is nothing to refund. If a charge has already been taken because production began after the required consent was received, we will stop work and refund the amount charged, with no cancellation fee.
Cancellation once we have started work
If you cancel after we have started work on your film, we will refund 50% of the amount charged for it. We will tell you when that point is reached if you ask. This does not limit any rights you may have under applicable law.
Subject does not respond to preview
If the subject has not responded within 30 days after we sent the preview, after our follow-ups at approximately days 14 and 21, we will close the order, refund the purchaser in full, and delete the film and source materials. We will not deliver or use the film.
Film remains unsatisfactory after included revisions
If, after the two included revision rounds, you remain unsatisfied and we cannot reasonably resolve the issues you identify, you may request a full refund. If we issue that refund, we will delete the film and will not deliver or use it.
Errors
If we make an error such as a wrong name, date or placement of a photograph, tell us and we will correct it at no additional charge.
Missed delivery deadline
If we miss an agreed deadline for reasons within our control, we will refund any rush fee in full and will still deliver the film. The delivery clock pauses while we are waiting for customer or subject materials, consent or approvals, so customer-caused delay does not trigger this remedy.
These refund commitments describe our stated policies and do not waive rights or remedies that cannot lawfully be waived. If a living subject declines consent or approval, that subject-based full-refund rule controls over the ordinary 50% purchaser-cancellation rule. We will process an approved refund to the original payment method where practicable. Payment-provider processing times may apply.
9. Ownership and permitted use
Your materials
You or the applicable rights holder retain ownership of photographs, recordings, text and other materials you provide. You grant us a limited, non-exclusive permission to use, reproduce, adapt and process those materials only as reasonably necessary to create, review, deliver, support and store your ordered film, to comply with law, and as otherwise described in our Privacy Policy and the consent forms.
Echoes of Life production elements
As between you and Echoes of Life, Echoes of Life retains any rights it owns in its original production elements, including its editing, arrangement, templates, workflows and other original creative contributions, subject to your rights in your own materials and any third-party rights. To the extent Echoes of Life owns copyright in the finished film or any protectable original contribution, Echoes of Life retains that ownership and grants the purchaser a perpetual, worldwide, royalty-free, non-exclusive license to download, keep, reproduce, share privately, and display the delivered film for personal, family, memorial and non-commercial purposes. This license does not permit resale, commercial exploitation, removal of legally required notices, or use in advertising without our written permission and any required subject permission.
Third-party materials
Music, fonts, stock assets, software, platform assets and other third-party materials may be subject to separate licenses, terms or restrictions. Your license to the film does not give you ownership of those materials or rights broader than the applicable third-party license permits. We will not knowingly include third-party logos, brands or copyrighted characters as a feature of a film without an appropriate basis to do so.
Generated material
Some elements may be generated or substantially assisted by artificial-intelligence systems. Copyright protection may not be available for some or all generated elements, and Echoes of Life does not promise exclusive copyright ownership in every element of the finished film. Rights in generated elements are subject to applicable law and the terms of any relevant production provider. We will not represent that generated material is exclusively copyrightable when that is not established.
Funeral-home use
A funeral home that purchases a film for resale or as a gift may use it to provide the film to the relevant family and may display it at the relevant service or on a tribute page for that person only to the extent permitted by the purchaser’s license, the applicable consent form and any third-party rights. A funeral home may not use a film, likeness, voice or other materials in its own advertising, promotional materials, social media or portfolio without a separate, affirmative opt-in from the person authorized to grant that permission and any other required rights holder.
Promotion
Neither you nor we may use the film in advertising, social media promotion or a portfolio except with the separate permission required by the applicable consent form. Promotional permission is optional and is not a condition of purchase.
10. What we will and will not do
- We will not present a generated voice as an authentic recording of the person. If a synthetic voice is offered, it will be generic rather than an unauthorized clone of a real person’s voice, will be disclosed as synthetic, and will be used only if selected and approved under the applicable consent form. The script and final audio must be approved before delivery.
- We will not present imagined scenes as real events. A film may place a person in a symbolic or imagined setting, such as a garden or shore, and we will describe that treatment as symbolic.
- We will not knowingly sell your materials or permit our production providers to use them to train their own models, subject to the disclosures and exceptions in our Privacy Policy.
- We may decline an order that we reasonably believe is unlawful, deceptive, abusive or likely to harm someone. If we decline an order before production begins, no payment will be taken; if payment has already been taken, we will refund it in full unless applicable law requires a different result.
11. Your representations; our responsibility; liability
11.1 Purchaser confirmations. When you place an order, you confirm that:
(a) You are at least 18 years old and legally able to enter into this agreement. If you are not at least 18, an adult must place the order as the purchaser.
(b) You have the right or permission necessary to provide the photographs, recordings, text, music, and other materials you upload or submit, and to authorize Echoes of Life to use those materials for the limited purpose of creating, reviewing, and delivering the Film as described in these Terms.
(c) You will not knowingly submit materials in violation of another person’s copyright, privacy, publicity, or other rights, or in violation of applicable law.
(d) You will provide accurate names, dates, and other factual information to the best of your knowledge and will notify us if you become aware of a material error before delivery.
(e) You understand that providing materials or paying for a Film does not, by itself, authorize Echoes of Life to use a living person’s likeness. Where required, the subject must provide the separate written consent and final-Film approval described in these Terms and the applicable consent form.
If you are ordering on behalf of another person, family, estate, or organization, you confirm that you are authorized to place the order and submit the materials for the purposes described above. You do not represent that you own rights that you do not own or control, and you cannot grant rights belonging to another person without the necessary authorization.
11.2 Responsibility for submitted materials. You are responsible for providing materials that you are authorized to submit and for the accuracy of the information you ask us to include. If we reasonably believe that materials lack the necessary authorization or are subject to a credible rights dispute, we may pause production or delivery while the issue is assessed.
Nothing in this Section requires you to indemnify Echoes of Life for Echoes of Life’s own breach, negligence, willful misconduct, or unauthorized use of materials, or requires you to waive a right or remedy that applicable law does not permit you to waive.
11.3 Standard of Performance. Echoes of Life LLC (“Echoes of Life”) will perform the services described in the applicable order with reasonable skill and care.
11.4 Liability Cap. To the fullest extent permitted by applicable law, Echoes of Life’s aggregate liability arising out of or relating to a particular order, under any legal theory, will not exceed the greater of (a) twice the total amount paid or payable to Echoes of Life for that order, or (b) $1,000. This limit applies to all claims arising from the same order collectively, and does not create a separate cap for each legal theory or claim.
11.5 Excluded Limitations. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for fraud, intentional misconduct, or any other liability that cannot lawfully be limited. Nothing in these Terms limits a consumer’s nonwaivable statutory rights or prevents a consumer from pursuing remedies available under applicable consumer-protection laws.
11.6 Consequential Damages. To the fullest extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits or loss of opportunity, arising from an order. This exclusion does not apply to damages that cannot lawfully be excluded, or to the extent such damages arise from fraud, intentional misconduct, or other conduct for which liability cannot lawfully be limited.
11.7 Refunds and Other Express Remedies. The limitations in this Section do not reduce or eliminate any refund, cancellation, deletion, or other express remedy that Echoes of Life has agreed to provide under these Terms. Any such remedy remains subject to the applicable terms governing that remedy and to nonwaivable rights under applicable law.
11.8 Application and Severability. Each limitation in this Section will be applied only to the extent permitted by applicable law. If a limitation is found unenforceable, it will be narrowed only to the extent necessary to make it enforceable, where permitted by law, and the remaining provisions will continue in effect.
12. Privacy
Our handling of photographs, recordings, consent forms and personal information is described in our Privacy Policy and in the consent form applicable to your order. Please review those documents before placing an order.
13. Funeral-home orders and resale
A participating funeral home may purchase films through our website using a code issued to that home. The code may provide a trade discount. The funeral home may then resell the film to a family at a price the funeral home sets, or it may purchase the film as a gift for the family. The funeral home is responsible for clearly communicating its own price and any separate charges to the family and for complying with laws applicable to its sale or gift.
A funeral home that only recommends Echoes of Life, where the family places its own order directly with us, receives no referral commission or other payment from us, and the family pays our listed price (plus any applicable tax shown at checkout). We do not pay funeral directors or funeral homes for referrals.
Whether a funeral home’s resale, gift, price-list disclosure or other conduct is subject to specific federal or New Jersey requirements depends on the transaction and applicable law. Nothing in these Terms is a representation that a particular resale arrangement is exempt from the FTC Funeral Rule, state funeral-service laws, tax rules or other requirements. Funeral homes should obtain their own legal and tax advice before offering the films. The funeral home must not use the film for its own marketing unless the required separate promotional opt-in has been obtained.
14. General
These Terms are governed by New Jersey law, without regard to conflict-of-law principles, except to the extent another law must apply. Any lawsuit must be brought in a state or federal court of competent jurisdiction in New Jersey, unless applicable consumer law requires otherwise. We are not imposing mandatory arbitration through these Terms.
If any provision is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. The version of these Terms in effect when you place your order applies to that order, unless a change is required by law or you expressly agree to a later version. We may update these Terms for future orders.
These Terms, the order confirmation, the applicable consent form and the Privacy Policy together describe the terms applicable to your purchase. If there is a conflict concerning consent, likeness, subject approval, promotional permission or deletion, the applicable consent form and Privacy Policy control to the extent of that subject matter; otherwise, the order confirmation controls only for order-specific details such as the selected product, price and delivery target.
